Limitation of liability and indemnity

Damage means all losses of whatever nature and includes (without limitation) all damages, loss, claims or costs, including (without limitation) loss of data, profits or custom, or business foregone whether in contract, delict or otherwise; direct, indirect, special or consequential; foreseeable or not; and notification of the damages were given in advance or not.

Subject to the Information Technology Act 2000 as amended from time to time and in force, neither we nor our affiliates, employees, shareholders, agents or service providers are liable to you or any third party for any damages suffered by you or a third party howsoever arising, including (without limitation) any damages suffered by you due to any inadvertent act or negligence on our part or on the part of our affiliates, employees, shareholders, agents or service providers to your use of a service, or any interruption of, or error in the service or failure to fulfill our obligations as a result of uncontrollable events; or disclosure of your information. Your entitlement for damages to the above incidents/occurrences/happenings is limited to the extent of unsubscribing to or withdrawing from the services we provide.

You indemnify, LV and our affiliates, employees, shareholders, agents and service providers, against all third party claims, damages and legal costs howsoever arising from or relating to your breach of these terms and any claims made by third parties by your use of a service.

4.	In the event a conflict between the third party's terms and conditions and these terms is noticed, then these terms and conditions shall prevail over the third party’s terms and condition to the extent the conflict is resolved and the ambiguity vanishes or disappears.
5. The user hereby agrees that, although we focus on providing extensive coverage aggregation services, third party network providers may choose from time to time not to be part of our networks or the networks of our service providers which might cause damage to or no delivery or belated delivery of the messages.

Member conduct

You understand that all information including data, text, software, music, sound, photographs, graphics, messages, tags, or other materials ("to be referred as Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you and www.smstoalert.com are entirely responsible for all Content that the respective parties upload, post, email, transmit or otherwise make available via the www.smstoalert.com services. We do not control the content posted via the www.smstoalert.com website and, as such, do not guarantee the accuracy, integrity or quality of such content. 11.	Collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs above. We our subsidiaries, affiliates, officials, employees, agents partners and licensors disclaim all warranties of any kind whether express or implied.
13.	Any material downloaded or otherwise obtained through the use of www.smstoalert.com or software is accessed at your own discretion and risk and you will be solely responsible for and hereby waive any and all claims and cause of action with respect to any damage to your computer system, internet access download or display devices including mobile phones.
Services- General
1.	www.smstoalert.com may offer some of its services as free services to its members. However, we reserve the right to withdraw, alter, or change the free service offer at its sole discretion. LV reserves the right to cease, withdraw, alter or modify the free services at its discretion at any time.
2.	Initially the services of www.smstoalert.com is made available to members residing in India; albeit anybody on the globe is at liberty to enroll himself/herself as a member on an agreement and to ‘pay charges for services’ provided in the scheme and availed by him/her. The alert services from www.smstoalert.com is limited to the geographical boundaries of INDIA.
3.	For all paid services VAT/Service tax as per existing rules and prevailing rates in India shall be charged extra.
4.	Any visuals shown are indicative and may differ from the actual services. The images shown / displayed shall be intended only to serve for representation purpose.
5.	www.smstoalert.com or its promotors shall not be held responsible for wrong information provided by the members. It is the responsibility of the Members to provide adequate, valid and correct information while registering themselves and the LV (service provider) herein shall not be liable for any consequences arising out of any inadequate, invalid and incorrect information provided at the time of registration by any member. www.smstoalert.com assumes that the contact particulars such as Name, postal address, e-mail ID and mobile number etc. provided by the member/subscriber at the time of registration are true, correct and legitimate and we do not own any responsibility, whatsoever, for the accuracy for the same.
6.	Delivery of the alerts will be made to the mobile phone numbers specified by the member when the buyer registers on the website. www.smstoalert.com shall not be responsible for any delivery failure on account of false or fictitious or inaccurate or inadequate or improper phone numbers mentioned by the member/subscriber.
7.	We shall endeavor to see and ensure that the alerts are delivered to the specific individual mobile number. The member shall ensure that the registered mobile phones are active and available to receive the alerts. For alerts booked for multiple recipients, also the accuracy of the numbers provided and the availability of the mobile numbers to receive alerts shall be the responsibility of the member. www.smstoalert.com shall not own any responsibility if the information provided to it is defective in any manner while registering the services.
8.	www.smstoalert.com shall not be responsible for any transit losses while transmitting the messages.
9.	No responsibility is accepted for late registration or requests for registration from persons not eligible for membership or re-registration requests from disqualified persons.
10.	Participation in the services shall be construed as an acceptance of the Terms and Conditions stipulated herein. Any breach or default of these terms and conditions by any member shall result in immediate disqualification of his / her membership without notice.
11.	Having subscribed to this scheme, members/subscribers shall, by implication, have no objection to any officials or staff members of www.smstoalert.com contacting them over telephone, email or in person or through any other media/mode in relation to servicing the participants’ request through this present scheme and / or in its future off-shoots or entirely new schemes. Participants also agree that the covenants herein contained shall in effect supersede and make null and void the hitherto subsisting earlier National Do Not Call (NDNC) registration.
12.	www.smstoalert.com shall not be liable for system/server defaults or any other technical failures. We shall not be held responsible for fulfilling the obligations of any of the third parties involved in the scheme.
13.	www.smstoalert.com reserves the right, without prior notice, to access, read, preserve and/or disclose the personal information of anyone of the participants, if the same is required for the limited purpose of scheme or in order to comply with any provision / requirement of Law or any court judgment / decree / order / directive by any statutory body, legal authority or Government agency functioning whether at local, state or union level.
14.	We reserve the right to store and process the personal identification and contact information provided by the member in India or any other country where smstoalert.com or its agents/representatives companies maintain infrastructure and processing facilities and the member/subscriber who is participating in the scheme by using the services herein shall be deemed to have consented to transfer any information to any facility used by us anywhere without geographical limitations.
15.	We reserves the right to change the timing/dates/hours/duration of the scheme without any prior intimation to the participants.
16.	www.smstoalert.com will in no way be responsible for circumstances beyond its control, which may hinder the services.
17.	Members are fully responsible for the taxes and levies as may be imposed by Central, State and Local government from time to time.
18.	The members shall be under a legal obligation to produce all/any of the documentary evidence to prove their bonefides as and when any law enforcing authorities may require/mandate for continuing active membership in the scheme or to receive the services provided by www.smstoalert.com.
19.	Any communication indented to be delivered to www.smstoalert.com regarding its services, schemes or programs and if such communications are made via email, and/or in reply to any such email notification from www.smstoalert.com without complying the instructions in this respect published in the website shall be at the risk and liability of the members. We cannot be held responsible for any such faulty communications.
20.	All communications to the members shall be sent to their respective e-mail ids registered with the website. Hence, members/subscribers to www.smstoalert.com are advised to register their e.mail ids correctly and ensure no mistakes creep into it. They are further advised to register only those e-mail accounts which are active and in operation . No correspondence will be entertained with regard to the free services provided by the website.
21.	Not withstanding anything contained herein, we reserves the right to add, delete, alter, modify, change or vary all or any of these Terms & Conditions or withdraw any of the benefits or services confirmed by the scheme, wholly or in part, at anytime, in its absolute discretion, without giving any prior notice and the members hereby agree to abide by such additions, deletions, alterations, modifications, changes or variations in the Terms & Conditions or withdrawal of any of the benefits or services confirmed by the scheme. But such additions, deletions, alterations, modifications, changes or variations in the Terms & Conditions or withdraw of any of the benefits or services confirmed by the scheme shall be published in the website and the members can draw inferences by visiting the site.
22.	www.smstoalert.com reserves the right to extend or to cancel, or change the manner in which the Scheme is organized or discontinue or terminate the scheme at any time or to accept or reject any or all entries at their absolute discretion without giving any prior notice and without assigning any reason whatsoever.
23.	Failure by www.smstoalert.com to enforce any or all of the above Terms & Conditions in any instance(s) shall not give rise to any claim/right/interest or dispute or litigation by any person.
24.	Any attempt by a participant to deliberately damage or undermine the legitimate operation of the activities of the www.smstoalert.com is a violation of Criminal and Civil Laws and should such an attempt be made, we reserve the right to seek compensation from the person so responsible for such damage or destruction or loss or mischief to the fullest extent as the law may permit.
25.	All matters with respect to the Scheme are subject to the jurisdiction of the Indian Courts at Hyderabad only.
26.	By subscribing to or using any of the services at www.smstoalert.com, it shall be deemed that the members have read, understood and agreed to the terms and conditions set out hereinabove and are bound by them.
